1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of 24Zap WhatsApp API for Bitrix24 ("the Software"), operated by Arrecife Tecnologia LTDA, a company registered under CNPJ 38.257.514/0001-08, headquartered at Av. Antônio Tôrres Galvão, nº 221, Imbiribeira, Recife/PE, CEP 51160-330, Brazil.

By installing, accessing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Software.

2. Nature of the Service

24Zap WhatsApp API for Bitrix24 is a SaaS (Software as a Service) application that integrates WhatsApp messaging with the Bitrix24 CRM platform. The Software acts as an intermediary between WhatsApp (via Meta Cloud API or third-party Z-API) and Bitrix24, enabling:

• Bidirectional messaging (text, images, audio, video, documents) between WhatsApp and Bitrix24
• WhatsApp template message management and delivery
• Integration with Bitrix24 Open Lines (Contact Center)
• CRM workflow automation with WhatsApp messages
• Marketing campaigns via Bitrix24 Marketing module
• WhatsApp Business profile management

3. Account & Access

• An active Bitrix24 portal is required to use the Software.
• The Software must be installed from the Bitrix24 Marketplace by a portal administrator.
• Access is provided within the Bitrix24 iframe — no separate account registration is required.
• You are responsible for maintaining the security of your Bitrix24 portal credentials and restricting unauthorized access.
• You must comply with all applicable Bitrix24 terms and conditions.

4. Plans, Pricing & Payment

• The Software offers two products: 24Zap QRCode (via Z-API) and 24Zap API Oficial (via Meta Cloud API).
• Monthly and annual billing cycles are available.
• Payments are processed securely through Stripe.
• Prices are available in BRL, USD, and EUR.
• A free trial period may be offered, as configured per product.
• Subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date.
• Cancellation takes effect at the end of the current billing period. No prorated refunds are provided.
• Prices may be adjusted with 30 days prior notice.

5. Permitted Use

The Software may be used for:

• Business-to-customer communication via WhatsApp
• Customer support and service management
• Sending pre-approved WhatsApp template messages
• CRM workflow automation through Bitrix24 business processes
• Marketing campaigns through the Bitrix24 Marketing module

6. Prohibited Use

You may NOT use the Software to:

• Send spam, unsolicited bulk messages, or any content that violates WhatsApp's Business Policy
• Violate Meta's Terms of Service or WhatsApp Business Terms
• Send content that is illegal, harmful, threatening, abusive, or harassing
• Attempt to reverse engineer, decompile, disassemble, or extract the source code of the Software
• Resell, sublicense, or redistribute the Software or any part thereof
• Bypass usage limits, security measures, or access controls
• Use the Software for any purpose that violates applicable local, national, or international law

7. Third-Party Services

The Software relies on third-party services. Your use is also subject to the terms and policies of:

• Meta / WhatsApp: Subject to WhatsApp Business Terms and Meta's Terms of Service.
• Bitrix24: Subject to Bitrix24's Terms of Service and policies.
• Z-API: Third-party WhatsApp API provider for QRCode-based connections. Subject to Z-API's own terms.
• Stripe: Payment processing subject to Stripe's terms.

We are not responsible for the availability, changes, restrictions, or any actions taken by these third-party services. WhatsApp account restrictions or bans imposed by Meta are not the responsibility of Arrecife Tecnologia LTDA.

8. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, express or implied. In particular:

• We do not guarantee uninterrupted or error-free service.
• We do not guarantee the availability or functioning of WhatsApp or Bitrix24.
• We do not guarantee the delivery, reading, or receipt of messages sent through the Software.
• We are not responsible for data loss, business interruption, or any damages arising from the use or inability to use the Software.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Arrecife Tecnologia LTDA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Software. Our total aggregate liability shall not exceed the amounts paid by you in the twelve (12) months preceding the event giving rise to the claim.

10. Intellectual Property

All rights, title, and interest in the Software, including all intellectual property rights, remain with Arrecife Tecnologia LTDA. You are granted a non-exclusive, non-transferable license to use the Software during the term of your subscription. Your data remains your property at all times.

11. Termination

• You may terminate your use at any time by cancelling your subscription.
• We may terminate or suspend your access if you violate these Terms.
• We may terminate the service with 30 days prior notice for any reason.
• Upon termination, your access to the Software ceases and data is handled in accordance with our Privacy Policy.
• Sections regarding intellectual property, limitation of liability, and governing law survive termination.

12. Privacy

Our Privacy Policy governs how we collect, use, and protect your data. By using the Software, you consent to the data practices described in the Privacy Policy.

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Brazil. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Recife, Pernambuco, Brazil.
